Terms of Service

Our terms and conditions

Effective Date: September 8, 2026

These Terms of Service ("Agreement") govern your access to and use of the RunBy platform and the products, features, and services made available by RunBy Technologies Inc. ("RunBy," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by this Agreement.

1. Definitions

  • "Service" means the RunByplatform and the software, document-processing, analysis, workflow, collaboration, and related services that we make available to you under a Subscription, order form, or other written agreement.
  • "Customer" means the individual or entity that registers for, purchases, or uses the Service.
  • "User" means any individual authorized by Customer to access the Service.
  • "User Submissions" means any documents, content, prompts, data, or information that Customer or Users upload, submit, store, or process through the Service.
  • "Output" means any result the Service produces from or in response to User Submissions, including extractions, classifications, summaries, citations, structured records, comparisons, findings, recommendations, reports, and other generated content.
  • "Subscription" means Customer's paid or free access plan to the Service.
  • "Product-Specific Terms" means any additional terms presented to you for a particular product, feature, integration, transaction, or regulated service.

2. Acceptance of Terms

2.1. By creating an account, accessing, or using the Service, you represent that you have reached the age of majority where you live and have authority to bind the entity you represent to this Agreement. If you do not agree to this Agreement, you may not use the Service.

2.2. A Subscription, order form, or Product-Specific Terms may apply to particular features. They form part of this Agreement when you accept or use the applicable feature. If they conflict with this Agreement, they control only for the product or feature they cover.

3. Description of Service

RunBy is a cloud-based document intelligence, workflow, and decision-support platform. Depending on the features included in your Subscription, the Service may allow you to:

  • Upload, organize, search, and collaborate on documents
  • Extract, classify, compare, summarize, and structure information from documents and other User Submissions
  • Compare information against contractual requirements, operational procedures, industry standards, policies, or rules selected for a workflow
  • Identify possible omissions, inconsistencies, conflicts, risks, or compliance issues and link findings to source material
  • Produce citations, records, reports, recommendations, and exports for review by Customer
  • Support project planning, production operations, compliance workflows, and financing-readiness activities
  • Manage team workspaces, permissions, and collaboration

The features available on the Effective Date focus on film and television credit compliance. That current use case does not limit the definition of the Service, but this Agreement is not a promise that any future product or feature will be released. We will identify material Product-Specific Terms before you use a feature to which they apply.

4. Automated Analysis and Decision Support

4.1. The Output may be machine-generated. The Service uses automated processing, including large language models, to analyze User Submissions and produce Output. Automated analysis is not perfect. Output may be inaccurate, incomplete, misleading, outdated, or inapplicable to your circumstances. It may omit or misclassify information, misread a provision, apply a rule incorrectly, or attribute information to the wrong source.

4.2. You must review the Output. The Service is a tool to assist qualified people, not a replacement for their judgment. You are responsible for reviewing and verifying all Output against source materials, current requirements, and the facts of your situation before relying on it, acting on it, publishing it, or providing it to another person.

4.3. Not professional advice. The Service and Output provide information, analysis, and operational decision support. They do not provide legal, financial, investment, securities, tax, accounting, insurance, employment, labour, guild, union, regulatory, or other professional advice. References to "compliance" describe comparison against selected materials or configured rules and do not constitute a legal opinion, certification, approval, or guarantee of compliance.

4.4. No professional or fiduciary relationship. No attorney-client, accountant-client, adviser-client, fiduciary, agency, or other professional relationship is created by your use of the Service. You should obtain advice from appropriately qualified professionals for decisions requiring professional judgment.

4.5. Financing and investment matters. Unless Product-Specific Terms or a separate written agreement expressly say otherwise, the Service does not provide or arrange financing. We are not acting as a lender, broker, dealer, investment adviser, underwriter, funding portal, or agent for you or any financing provider. Information or Output concerning budgets, financing readiness, funding sources, transaction structures, or project economics is not an offer to lend, buy, or sell a security; a solicitation; an investment recommendation; or a representation that financing will be available or suitable.

4.6. Third-party opportunities. The Service may in the future link to, display, or help you prepare information for third-party lenders, investors, grant programs, insurers, or other service providers. Unless Product-Specific Terms expressly state otherwise, those third parties act independently, make their own eligibility and approval decisions, and provide their services under separate terms. We do not control or guarantee their products, decisions, conduct, funding, returns, or compliance with law.

4.7. Industry rules. Rules, standards, agreements, or other reference materials encoded in or made available through the Service may reflect our interpretation of public, licensed, or Customer-provided materials. We do not warrant that they are current, complete, authoritative, or applicable to your circumstances.

4.8. Film-credit features. When you use film-credit features, any guild, union, or industry rules in the Service reflect our interpretation of applicable materials. We are not affiliated with, endorsed by, or acting on behalf of any guild or union. Compliance with collective agreements and final credit determinations remains your responsibility.

5. Subscription and Payment

5.1. Plans. The features, usage limits, and price of your Subscription are those presented to you at the time of purchase or set out in a separate order form or written agreement between us. Where a separate written agreement conflicts with this Agreement, that agreement controls.

5.2. Fees. You agree to pay all fees associated with your Subscription. Fees are non-cancelable and non-refundable except as expressly stated in this Agreement.

5.3. Payment. We will charge your selected payment method for all fees. You are responsible for providing current payment information.

5.4. Taxes. Fees do not include taxes. You are responsible for all applicable taxes.

5.5. Price Changes. We may modify our pricing with at least 30 days' notice. You may cancel your Subscription if you do not agree to the new pricing.

5.6. Renewal. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Upload documents you do not have the right to upload, or personal information you do not have a lawful basis to process
  • Use the Service or Output to offer, solicit, broker, or sell a regulated product or service without all required registrations, approvals, disclosures, and Product-Specific Terms
  • Use Output as the sole basis for a decision that has a legal or similarly significant effect on an individual without appropriate human review and any safeguards required by law
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Use the Service to build competing products or services
  • Reverse engineer, decompile, or disassemble the Service
  • Remove or alter any proprietary notices

7. User Submissions and Output

7.1. Ownership. You retain all rights to your User Submissions. By using the Service, you grant us a limited license to host, copy, transmit, use, process, and display your User Submissions as necessary to provide, secure, support, and improve the operation of the Service for you and to comply with law.

7.2. Output. As between you and us, the Output generated from your User Submissions is yours to use. We make no claim of ownership over it, and we do not warrant that it is accurate, complete, unique, or fit for any particular purpose — see Section 4.

7.3. Responsibility. You are solely responsible for your User Submissions, including ensuring that they are accurate and that you have the rights, permissions, notices, and lawful basis necessary to process them through the Service. You are also responsible for your decisions, communications, and actions based on Output.

7.4. Content Removal. We may remove any content that violates this Agreement or applicable law.

7.5. No training on your content. We do not use your User Submissions to train generalized machine learning models.

8. Intellectual Property

8.1. Our Property. The Service, including all software, designs, logos, workflows, prompts, schemas, configurations, encoded rules, reference materials, and content we provide, is owned by RunBy Technologies Inc. or its licensors and protected by intellectual property laws.

8.2. License Grant. We grant you a limited, non-exclusive, non-transferable license to use the Service during your Subscription period.

8.3. Feedback. If you provide feedback or suggestions, we may use them without any obligation to you.

9. Subprocessors and Automated Processing

9.1. We use third-party service providers to operate the Service, including cloud infrastructure, database and authentication hosting, an AI model provider for automated document analysis, payment processing, and email delivery. The current list, with the purpose of each provider, is in our Privacy Policy.

9.2. For automated document analysis, we send our AI model provider a text copy processed by pattern-based masking intended to reduce exposure of certain contact, government-identification, membership, and financial details. The original document is not sent. Masking is not anonymisation, may not identify every sensitive value, and may leave names or other content needed for the analysis. Our Privacy Policy describes this process and the applicable data locations.

9.3. We remain responsible for our subprocessors' handling of your data as required by this Agreement and applicable law.

10. Data and Privacy

10.1. We process personal information in accordance with our Privacy Policy.

10.2. User Submissions may contain personal, confidential, commercially sensitive, financial, employment, or regulated information about other people and organizations. You determine what to submit and are responsible for having a lawful basis and all necessary rights to process that information, including providing any required notices and obtaining any required consents.

10.3. We implement reasonable security measures to protect your data, but no system is completely secure.

11. Service Availability and Modifications

11.1. We strive to maintain high service availability but do not guarantee uninterrupted access.

11.2. We may modify, suspend, or discontinue features with reasonable notice.

11.3. We will not materially reduce the core functionality included in your paid Subscription during its then-current term, except where necessary for security, legal compliance, or third-party service changes outside our reasonable control.

12. Term and Termination

12.1. Term. This Agreement remains in effect during your Subscription period.

12.2. Termination by You. You may cancel your Subscription at any time. Cancellation takes effect at the end of your current billing period unless your plan or order form says otherwise.

12.3. Termination by Us. We may suspend or terminate your access for cause, including breach of this Agreement, with 30 days' notice to cure, except where immediate action is reasonably necessary to address illegal activity, harm, a security threat, or legal requirements.

12.4. Effect of Termination. Upon termination, your right to use the Service ceases. We may delete your data after a reasonable period, subject to our Privacy Policy and legal retention obligations. Export any Output you need to retain before your access ends.

12.5. Survival. Sections regarding intellectual property, warranties, liability, confidentiality, and general terms survive termination.

13. Warranties and Disclaimers

13.1. Your Warranties. You represent that you have the authority to enter this Agreement and that your use of the Service will comply with all applicable laws and third-party rights.

13.2. Disclaimer. THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT ANY OUTPUT OR REFERENCE MATERIAL WILL BE ACCURATE, COMPLETE, CURRENT, OR UNIQUE; OR THAT THE SERVICE WILL ACHIEVE COMPLIANCE, FINANCING, APPROVAL, OR ANY OTHER PARTICULAR OUTCOME.

14. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, financing, production, goodwill, or business opportunities, regardless of the cause of action. This includes losses arising from reliance on Output, missed obligations, compliance decisions, or dealings with a third party.

Our total liability for any claim arising from this Agreement will not exceed the fees you paid in the 12 months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless RunBy Technologies Inc. and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your User Submissions, your use of or reliance on Output, your dealings with third parties through or in connection with the Service, or your breach of this Agreement.

16. Confidentiality

Each party agrees to protect the other's confidential information using reasonable care and to use it only for purposes related to this Agreement. We treat your User Submissions as your confidential information. Confidentiality obligations do not apply to information that is public through no breach, was already lawfully known without restriction, is independently developed, or is lawfully received from another source.

17. Dispute Resolution

17.1. Governing Law. This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada, without regard to conflict of law principles.

17.2. Jurisdiction. Any disputes will be resolved in the courts of Ontario, Canada.

17.3. Informal Resolution. Before filing a claim, each party agrees to attempt to resolve the dispute informally by sending a written notice to the other party.

18. Changes to Terms

We may modify this Agreement from time to time. We will provide notice of material changes at least 30 days before they take effect, unless a shorter period is reasonably required by law, security, or circumstances beyond our control. Your continued use of the Service after changes take effect constitutes acceptance of the modified terms. If you do not agree, you must stop using the Service and may cancel your Subscription.

19. Beta Features

19.1. Beta Release Definition. "Beta Release" means any alpha, beta, developmental, test, experimental, preview, pilot, or early-access release of the Service or another RunBy product or service. A feature identified by any of those terms is a Beta Release.

19.2. As-Is Basis. Beta Releases are provided "as is" and "as available" without warranties, service levels, or support commitments. We may modify or discontinue Beta Releases at any time without notice.

19.3. Feedback. You may provide feedback on Beta Releases. We may use any feedback without obligation to you.

19.4. No Obligation. We are under no obligation to release Beta Releases as generally available features or products.

20. High-Risk Activities

20.1. Definition. "High-Risk Activities" means activities where use or failure of the Service could lead to death, personal injury, or environmental damage, including life support systems, emergency services, nuclear facilities, autonomous vehicles, air traffic control, or use cases prohibited under applicable law.

20.2. Prohibition. The Service is not designed, licensed, or intended for use in High-Risk Activities. You agree not to use the Service for any High-Risk Activities.

20.3. Disclaimer. We expressly disclaim any liability for damages arising from use of the Service in High-Risk Activities.

21. General Terms

21.1. Entire Agreement. This Agreement, applicable order forms and Product-Specific Terms, and the documents expressly incorporated by reference constitute the entire agreement between you and RunBy Technologies Inc. regarding the Service. Our Privacy Policy describes our data practices but does not expand your rights or obligations beyond applicable law and this Agreement.

21.2. Severability. If any provision is found unenforceable, the remaining provisions will continue in effect.

21.3. No Waiver. Failure to enforce any provision does not constitute a waiver.

21.4. Assignment. You may not assign this Agreement without our consent. We may assign this Agreement in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, or by operation of law.

21.5. Independent Contractors. The parties are independent contractors. This Agreement does not create a partnership, joint venture, employment, agency, professional, or fiduciary relationship.

21.6. Notices. We may provide notices via email or through the Service. Notices to us should be sent to legal@run-by.com.

21.7. Export Compliance. You agree to comply with all applicable export, sanctions, and import laws.
